Sunny Health Global Online Shopping terms of service

These Terms of Use (hereinafter referred to as “these Terms”) set forth matters related to the mail-order services (collectively referred to as “our Mail Order Services”) provided by Sunny Health Co., Ltd. (hereinafter referred to as “Sunny Health”) through “Sunny Health Online Shopping” (hereinafter referred to as “our Website”) or via telephone, postcard, letter, email, fax, etc., to sell Sunny Health products (including services, hereinafter referred to as “Products”).

1. Agreement to the Terms of Use

When using our Mail Order Services, you are required to agree to these Terms and the separately established Privacy Policy.
In addition, if specific terms of use are established for each service, you must also agree to those terms.

2. Membership Qualification for Our Mail Order Services

1. Individuals who use our Mail Order Services shall be deemed members of Sunny Health (hereinafter referred to as “Members”).
2. If false declarations or inaccurate information are provided at the time of application, or if Sunny Health determines based on reasonable grounds that approval as a Member is inappropriate, your membership registration may be canceled without prior notice or demand, even after your use of our Mail Order Services has begun.
3. Members may not transfer or lend their membership to any third party.

3. Changes to Member Information

Members must notify Sunny Health via the method designated by Sunny Health if any changes occur regarding their registered address, name, telephone number, or other submitted information. Sunny Health shall bear no responsibility for any damage incurred due to the Member’s failure to make such changes.

4. Withdrawal and Deletion of Information

Members may withdraw by notifying Sunny Health in accordance with prescribed procedures. All points, coupons, etc. granted to the Member will become invalid upon withdrawal. However, information required to be retained by law will not be deleted.

5. Online Membership

By registering as a Member on our Website, you will also be registered as an online member (meaning a Member who can use our Website), and may use our Website with your ID (registered email address) and password.
1. The acquired ID and password (hereinafter referred to as “Member ID”) must be managed and used under the sole responsibility of the online Member.
2. The Member ID is unique to each online Member and may not be transferred, sold, or lent for any reason.
3. If the Member ID is stolen, lost, or suspected of being used by a third party due to leakage, the online Member must immediately notify Sunny Health.
4. Online Members shall bear all responsibility for any actions performed on our Website using their Member ID and the results of such actions—regardless of whether the actions were performed by the Member themselves or without their consent. However, this does not apply in cases where Sunny Health is responsible for intentional misconduct or gross negligence.
5. Online Members may withdraw from online membership for any reason by notifying Sunny Health through the prescribed procedures. However, even after withdrawing as an online Member, membership for our Mail Order Services remains valid.

6. Concerning Our Website

1. Sunny Health bears no responsibility for any trouble related to computers, communication devices, or data caused by using programs or data downloaded via our Website, nor for any damages incurred while using mobile services (including device failure, excessive charges due to carrier issues, or other damages).
2. Sunny Health makes no guarantees regarding the following:
・That our Website will not be interrupted
・That our Website will be provided without delay
・That our Website will be free of errors or malfunctions
3. Sunny Health may use cookies. Cookies are files stored on the user’s computer that do not identify individuals. Cookies may be disabled through browser settings, but doing so may render some online services unavailable. Cookie data may be outsourced to third parties for advertising distribution or statistical analysis.

7. Notes Regarding Changes to Services

When providing new services, Sunny Health may request Members to provide additional necessary information. If a Member does not comply, Sunny Health may decide not to provide the respective service to that Member.

8. Sending of Emails and Direct Mail

Within the scope set forth in the Privacy Policy, Sunny Health may send emails, direct mail, and other communications to Members. However, if a Member notifies Sunny Health that they do not wish to receive such communications, Sunny Health will cease sending them.

9. Orders

1. Orders for Products must be placed through our Website, by telephone, postcard, letter, fax, or other methods designated by Sunny Health.

10. Payment Methods

1. Payment for Products purchased through our Mail Order Services shall be made using the method selected by the Member from among those designated by Sunny Health. However, Sunny Health may request a Member to change their payment method if deemed necessary.
2. When paying by credit card, the terms and conditions (payment deadlines, credit limits, etc.) agreed upon between the Member and the credit card company apply.
3. Any disputes between the Member and the credit card company must be resolved between the two parties, and Sunny Health shall not be involved.

11. Order Cancellations and Returns

1. Order cancellations by Members can only be accepted before shipping preparations begin. Cancellations after shipping preparation or shipping completion cannot be accepted.
2. Due to international shipping and the handling of many food items, we do not accept returns or exchanges for reasons attributable to the Member. Please check your order carefully before purchasing.
However, exchanges will be accepted only in the following cases:
・If the product is damaged
・If a product different from what was ordered is delivered
In these cases, please contact us within 7 days of receiving the Product via the Contact Form.
3. Sunny Health may cancel an order at its discretion in the following cases:
・When there is a delay or default in payment
・When there is no response for a certain period to inquiries from Sunny Health
・When returns for personal reasons or refusal to accept deliveries occur twice or more
・When an order is placed by someone under 18 years old without parental consent
・When the payment method designated by Sunny Health is refused
・Other cases where Sunny Health deems it inappropriate

12. Subscription (Regular Delivery) Services

1. The subscription service provided by Sunny Health delivers Products periodically in predetermined quantities based on the Member’s application. Payment for Product prices, shipping fees, etc. will be processed monthly according to the Member’s designated payment method.
2. If a Member fails to receive a shipment after it has been dispatched for any reason attributable to the Member, Sunny Health may cancel the subscription service (subscription withdrawal).
3. Sunny Health may change the content of subscription services after prior notice. If the Member does not wish to continue under the revised conditions, they must cancel (withdraw from the subscription) by phone or email at least 10 days before the next scheduled delivery date. If no cancellation is made, the Member is deemed to have agreed to the changes.
4. The content of the subscription may be changed. For phone or email requests, changes must be made at least 10 days before the next delivery date; for requests made through My Page, changes must be made at least 11 days in advance.
5. Sunny Health may renew or discontinue Products for the subscription service without prior notice. If an ongoing subscription Product is renewed, subsequent deliveries will consist of the renewed Product. If a Product is discontinued, the subscription will be canceled (subscription withdrawal).

13. Point Service

1. When a Member uses the services designated by Sunny Health as eligible for points (hereinafter referred to as “Eligible Services”), points will be granted after the completion of prescribed procedures. Conditions, timing, quantity, and expiration of points shall be determined at Sunny Health’s discretion.
2. Points are calculated based on the price after discounts are applied to Eligible Services. If taxes or public charges are included in the price, the amount equivalent to those charges will be excluded.
3. If Sunny Health or the Member cancels or invalidates the relevant service, points will not be granted. Furthermore, Sunny Health may refuse to grant points to Members deemed inappropriate for point granting. In such cases, the Member shall comply with Sunny Health’s decision.
4. Use of points shall be as follows:
・The conversion rate is 100 points = 1 yen. Members may use points to cover all or part of the cost (including shipping fees) of purchasing Products or using services designated by Sunny Health (“Use of Benefits”). Conditions, fees, and applicable services for using Benefits will be notified to the Member in advance as determined by Sunny Health.
・Sunny Health may impose restrictions or conditions on Eligible Services and may change them.
・Use of Benefits must be made by the Member themselves; applications by non-Members are not accepted. Sunny Health may verify membership status during the process.
・Final decisions regarding the use of Benefits will be made by Sunny Health.
5. Point cancellations and refunds are handled as follows:
(1) Sunny Health may cancel all or part of a Member’s points or suspend granting or use of points in the following cases:
・If a return or cancellation occurs in Eligible Services
・If there is a violation of the Terms, fraud, or illegal activity
・If payment for a transaction using Benefits is overdue
・Other cases where Sunny Health deems cancellation appropriate
(2) If a Member cancels a transaction involving the use of Benefits, the used points will be returned to the Member. However, if it is not possible to refund points due to administrative circumstances, cash or gift certificates may be provided instead.
(3) If a Member returns Products after using Benefits—regardless of whether the return is full or partial—all used points will be returned. In the case of partial returns, refunded points cannot be used toward the remaining Product balance. If a shortfall occurs, the Member must pay Sunny Health the difference.
(4) If it is later found that the Member violated the Terms and points are retroactively canceled, Sunny Health may request the return of Benefits and payment equivalent to the amount covered by points. The Member must promptly comply.
6. Point inquiries are handled as follows:
(1) Members may check their point balance, expiration dates, and history via the method designated by Sunny Health. However, the period for which individual point acquisition/use history can be checked shall be determined by Sunny Health.
(2) Differences may occur between displayed points and actual points depending on the point-granting timing under Article 13, Paragraph 1.
(3) If Members have doubts regarding their point balance, they must immediately contact Sunny Health. However, the final decision regarding points shall be made by Sunny Health.
7. Points are valid until the end of the month that is 12 months after the month in which they were earned. Points not used within their validity period will expire. Points will also become invalid immediately if the Member loses membership. Sunny Health bears no responsibility toward the Member or third parties regarding expired points.
8. Points cannot be exchanged for cash or transferred, lent, or used as collateral.
9. Sunny Health may change, suspend, or terminate the point service without prior notice.
10. Even if Sunny Health suspends points under this section, Sunny Health bears no responsibility and such suspension does not affect Benefits already used.
11. If a dispute arises between a Member and a third party (including payment processors) related to point transactions, the matter shall be resolved between the Member and the third party. Sunny Health bears no responsibility except when due to its own fault and will not provide refunds or compensation.

14. Coupon Service

1. Sunny Health may issue coupons available on our Website to eligible Members during campaigns. Methods of issuance, eligibility, conditions of use, validity periods, and applicable services/products are determined at Sunny Health’s discretion. Final decisions regarding coupon issuance and use will be made by Sunny Health.
2. If an order using a coupon is canceled before product shipment, the coupon may be used again if it is still within its validity period. However, cancellations or returns after shipment will invalidate the coupon regardless of its validity period.
3. Coupons cannot be exchanged for cash, converted, transferred, or resold. Coupons past their validity period are void.
4. In cases of fraudulent use or violation of coupon conditions, Sunny Health may invalidate the coupon. In malicious cases, Sunny Health may cancel orders or suspend membership.
5. Sunny Health may change, suspend, or terminate the coupon service without prior notice.
6. If a Member loses membership, all held coupons become invalid.

15. Restrictions on Copying Information

Except when approved by Sunny Health, Members may not copy, sell, publish, or otherwise use beyond personal purposes any information obtained through our Mail Order Services.

16. Prohibition of Resale

1. Sunny Health Products may not be suitable for individuals with illnesses or food allergies. To ensure health and safety, resale or transfer of Products or samples purchased via our Mail Order Services to third parties is prohibited.
2. We do not accept orders aimed at resale or transfer.
3. We offer no guarantees regarding the quality, safety, or expiration dates of Products that have been resold or transferred.

17. Prohibited Acts

The following acts are prohibited when using our Mail Order Services:
・Acts that violate public order or laws
・Acts involving relationships with or support for antisocial forces such as organized crime groups
・Impersonating others when using our Mail Order Services
・Acts that cause nuisance, defamation, threats, or damage to Sunny Health or third parties
・Acts that infringe copyrights, trademarks, or other intellectual property rights of Sunny Health or third parties
・Acts that interfere with business operations, such as placing excessive orders or sending large volumes of emails
・Other acts deemed inappropriate by Sunny Health

18. Suspension and Termination of Membership

If a Member violates any part of these Terms or if Sunny Health deems it necessary, Sunny Health may suspend or terminate all or part of the Member’s membership without prior notice.

19. Disclaimer

1. Sunny Health may suspend or interrupt part or all of our Mail Order Services without prior notice in the following circumstances:
・Regular maintenance or updates of network systems, or in emergencies
・System failures in our Mail Order Services
・Difficulty providing services due to fire or power outages
・Difficulty providing services due to natural disasters or communication failures
・Difficulty providing services due to war, riots, uprisings, civil disorder, labor disputes, or other force majeure
・Other operational, technical, or unforeseen circumstances where service continuation is deemed difficult
2. Even if a Member suffers disadvantages or damages due to any of the preceding circumstances or the following events, Sunny Health bears no responsibility except in cases of Sunny Health’s intentional misconduct or gross negligence:
・Damage caused by using or not using our Website
・Troubles related to transactions between Members and third parties
・Changes to our Mail Order Services
・Loss of data due to system failures
・Suspension of point services or issues related to point granting/use caused by force majeure such as power outages, communication failures, natural disasters, failures of communication carriers, internet infrastructure, servers, or due to emergency maintenance
3. If a dispute regarding delivery delays, loss, damage, defects, incorrect items, or other issues arises between the Member and a third party in relation to transactions under our Mail Order Services, the matter shall be resolved between the Member and the third party. Except in cases attributable to Sunny Health, Sunny Health bears no responsibility and will not provide refunds or compensation.

20. Changes to the Terms

These Terms may be changed without prior notice to Members. When changes are made, Sunny Health will notify Members via posting on our Website, email, written notice, or other methods deemed appropriate. Continued use of our Mail Order Services after changes constitutes agreement to the revised Terms.

21. Governing Law and Jurisdiction

The validity, performance, and interpretation of these Terms shall be governed by Japanese law. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
